ORBIA AI LTD ("ORBIA", "we", "us") develops and operates artificial intelligence software and digital productivity tools for individuals, professionals and businesses. Its products include AI assistants, document analysis, content-generation tools, intelligent workflows, automation, research tools and AI agents delivered through an online software platform.

These Terms describe what we offer, how you may use the Service, the limits of the Service and the responsibilities you accept when using it.

You may use the Service only if you are legally able to form a binding contract with ORBIA. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

Some features require an account. You agree to provide accurate information, keep your credentials secure, and not to share access in a way that breaches these Terms or your plan. In V1 accounts are mock/demo only; account functionality is illustrative until an authentication backend is connected.

ORBIA provides AI services through structured experiences called Chat, Skills, Workflows and Agents. ORBIA may use one or more third-party or internally hosted AI models depending on feature, region and availability.

AI-generated outputs may contain errors, omissions or inaccurate information and should be independently reviewed where important decisions are involved. You are responsible for reviewing and validating outputs before relying on them.

ORBIA does not guarantee the accuracy, completeness or reliability of any AI-generated output. Outputs are provided for informational and productivity purposes only and are not a substitute for professional advice. In particular, ORBIA does not provide legal, medical, financial, investment or regulated professional advice.

You may not use the Service to do anything unlawful, abusive, deceptive or harmful. Examples include, without limitation:

• unlawful activity or fraud
• abuse, harassment or harm to others
• malware, credential theft or service disruption
• infringement of intellectual property or privacy rights
• automated abuse or attempts to bypass service limits
• misrepresentation of AI output as human-verified fact
• reliance on the Service for safety-critical decisions without independent review

Paid plans are billed as recurring subscriptions. By subscribing you authorise the configured payment provider to charge the applicable amount at the start of each billing period until you cancel. Plan allowances and limits are described on the Pricing section.

Prices are displayed on the Pricing section and may be presented in different currencies. Display prices may be exclusive of applicable taxes unless otherwise stated at checkout. You are responsible for any applicable taxes associated with your use of the Service.

ORBIA subscriptions may include AI usage credits. Credits reflect AI processing usage. Credits are not money, cannot be withdrawn, cannot be transferred between unrelated accounts and are only usable within ORBIA. Whether unused credits expire or roll over depends on your plan.

Payments are processed by a configured payment provider (for example, Stripe). ORBIA does not store payment-card data directly whenever a payment provider is used. In mock mode no real charge is made.

Paid plans renew automatically until cancelled. You may cancel at any time from your account. Cancellation stops the next renewal; you keep access until the end of your current billing period. See the Cancellation Policy for details.

Refund eligibility is described in the Refund Policy. ORBIA does not adopt an absolute 'all digital purchases are non-refundable' wording. Statutory consumer rights remain unaffected.

ORBIA delivers access to the Service electronically after successful account creation and payment confirmation (see the Delivery Policy). The Service is normally available immediately or shortly after confirmation.

ORBIA, the ORBIA logo, the ORBIA visual identity and the Service software are owned by ORBIA AI LTD or its licensors and are protected by applicable intellectual property laws.

You retain rights in the content you submit ("Customer Content"). You grant ORBIA a limited licence to process your Customer Content solely to provide and improve the Service as described in the Privacy Policy.

AI-generated outputs are made available to you subject to your plan. You should review outputs before using them commercially and you remain responsible for your use.

ORBIA may route requests to third-party AI models and may integrate third-party services. We do not control third-party models or services and are not responsible for their separate conduct. Your use of third-party features may also be subject to the relevant provider's terms.

You agree to the Acceptable Use Policy. We may suspend or terminate access where we reasonably believe the Service has been misused, where required for security, or where required by law.

We may update, add or remove features over time. We do not guarantee uninterrupted availability. Beta features are provided on an as-is basis and may change or be removed.

To the maximum extent permitted by law, the Service is provided "as is" and "as available". ORBIA disclaims all warranties not expressly stated in these Terms.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, statutory consumer rights in the United Kingdom).

If you are a consumer in the United Kingdom or the European Economic Area, you may have statutory rights that cannot be excluded. Nothing in these Terms affects those rights.

These Terms are governed by the laws of England and Wales, without prejudice to any mandatory consumer protection rules that apply to you.
